Terms of Service

These Terms of Service ("Terms") govern your use of the websites, software, SaaS products and professional services (together, the "Services") provided by Gnosivra Technologies Inc, a Delaware corporation ("Gnosivra", "we", "us"). By using the Services or paying for them, you agree to these Terms. If you use the Services on behalf of an organization, you agree on its behalf.

1. The Services

We provide AI software and services for businesses, including AI agents, knowledge management and workflow automation systems, SaaS subscriptions, custom software development, system integration, implementation and consulting. The scope, price and term of any paid Service are set out in the order, quote, invoice or statement of work you accept ("Order").

2. AI output

Some Services generate content or recommendations using AI models. AI output can be inaccurate or incomplete. You are responsible for reviewing output before relying on it, especially for legal, financial, medical or other high-stakes decisions.

3. Accounts and acceptable use

You are responsible for your account credentials and for activity under your account. You must not use the Services to break the law, infringe others' rights, process data you have no right to process, distribute malware, attempt to access systems without authorization, or interfere with the Services or other customers.

4. Fees and payment

Fees are stated in US dollars in your Order and are exclusive of taxes unless stated otherwise. Subscriptions renew automatically for the same term unless you cancel before the renewal date. Payments are processed by our third-party payment processors; we do not store full card numbers. If a payment fails, we may suspend paid Services after notifying you. Refunds are described in our Refund Policy.

5. Customer data

You keep all rights to the data and documents you submit to the Services. You grant us a limited right to process them only to provide and support the Services, as described in our Privacy Policy. We do not use your data to train general-purpose AI models.

6. Intellectual property

Except for your data, the Services and our trademarks are owned by Gnosivra. Deliverables from custom development are owned as set out in the relevant statement of work.

7. Warranty disclaimer

Except as expressly stated in an Order, the Services are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

8. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or data. Our total liability arising out of the Services is limited to the amounts you paid us for the Services in the twelve months before the claim.

9. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you materially breach these Terms. Sections that by their nature should survive termination will survive.

10. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Delaware.

11. Changes

We may update these Terms. We will post the new version on this page and update the date above. Material changes to paid Services take effect at your next renewal.
